About The Role
We are an AI infrastructure company seeking a Corporate Counsel or Senior Corporate Counsel, Corporate & Securities. We are looking for a seasoned attorney who will help manage all corporate and securities matters and prepare us for the next stage of our company’s growth. You’ll work closely with cross-functional teams—including finance/accounting, tax, HR, stock administration, and procurement—to negotiate and structure agreements that drive innovation while managing risk.
Based in Sunnyvale, CA, this role will report to the VP, Corporate and Employment Legal. Executives are in-office, which enables critical business knowledge and organizational decisions in a fast-paced environment. So this attorney will be required to join their colleagues in-office to maximize success in the role.
Responsibilities
- SEC Reporting & Disclosure: Manage the preparation and filing of all periodic reports, including Forms 10-K, 10-Q, and 8-K. Oversee the annual proxy statement and shareholder meeting processes.
- Corporate Governance: Provide legal support for Board and Committee meetings, including drafting agendas, resolutions, and minutes. Advise on best practices for Board processes and corporate policies.
- Securities Compliance: Administer the company's insider trading policy, Section 16 reporting (Forms 3, 4, and 5), and Rule 10b5-1 trading plans.
- Strategic Transactions: Lead legal due diligence and document negotiation for M&A and equity or debt financing transactions.
- Investor Relations Support: Partner with the IR and Communications teams to review earnings releases, investor presentations, and press releases for legal compliance.
- Subsidiary Management: Oversee the legal maintenance and governance of domestic and international subsidiaries.
- Executive Compensation: Advise on legal issues related to stock plans, equity grant matters, and executive compensation disclosures.
Skills And Qualifications
- 5+ years of relevant experience at a top-tier law firm and/or in-house legal department, with a strong focus on public company securities law.
- Strong deal management experience.
- Proven experience advising high-growth technology companies on '33 and '34 Act compliance and Nasdaq/NYSE listing requirements.
- Familiarity with cloud infrastructure and AI inference concepts is beneficial but not required.
- Business acumen and critical thinking with the ability to think on one’s feet and interact confidently with clients.
- Excellent communication and stakeholder management skills.
- Strong ability to quickly learn other practice areas, and desire to work in a fast-paced environment.
- Highly organized self-starter.
- Can-do attitude and strong work ethic; no task is beneath you and no problem is unsolvable.
- Juris Doctor (J.D.) and bar admission required.
